Board Secretary

Our client, operating in the Financial Services, is seeking a dedicated and detail-oriented Board Secretary to join their team. Reporting to the Company Secretary and the Chairperson of the Board, this key role ensures effective corporate governance and administrative coordination between the Board of Directors, its committees, and shareholders.

The ideal candidate will possess excellent organisational and communication skills, strong integrity, and the ability to manage complex documentation and regulatory responsibilities with precision.

Duties and Responsibilities:

  • Prepare, draft, and circulate accurate minutes of Board, committee, and shareholder meetings.
  • Coordinate and maintain Board and committee calendars, meeting agendas, and action trackers.
  • Organise and manage records in line with internal policies and regulatory obligations.
  • Ensure timely preparation and submission of statutory reports, regulatory filings, and official announcements.
  • Liaise with key stakeholders to support smooth governance operations and compliance.

Requirements

  • Excellent organisational skills and the ability to prioritise multiple tasks under pressure.
  • Proficiency in Microsoft Office applications.
  • High level of discretion, professionalism, and integrity.
  • Familiarity with Market Abuse Regulations is considered an asset.
  • Strong written and verbal communication skills in both English and Maltese.
