A reputable client of ours, specialised within the Manufacturing, Retail, and FMCG sectors, is looking to onboard a seasoned Group Legal Counsel, to join their team of professionals, and provide commercially focused legal, governance and intellectual property support across the Group, safeguarding the Group’s legal interest:
Duties:
- Identify, assess and mitigate legal risks, emerging legislation and regulatory developments affecting the Group.
- Support the management on significant legal, regulatory and reputational incidents, investigations, disputes and litigation.
- Provide commercially focused legal advice across the Group on corporate, commercial, employment, competition, customs and trade, property, data protection and regulatory matters.
- Support property transactions, corporate restructurings, joint ventures, strategic partnerships and other corporate projects.
- Provide legal support to acquisitions, disposals, restructurings and integration activities when required, including transaction documentation, due diligence and post-completion integration.
- Manage and optimise the international trademark and intellectual property portfolio, including filings, and renewals
- Maintain and enhance governance frameworks, delegated authority structures and subsidiary governance arrangements across the Group.
- Act as custodian of the Group Policy Governance Framework and Policy Register, ensuring effective policy ownership, review cycles and governance standards.
- Provide legal oversight and guidance on sanctions, anti-bribery, KYC, data protection and other compliance matters, as required
- Support the Group in monitoring and responding to emerging legal and regulatory developments relating to sustainability, ESG reporting, supply chain governance and corporate responsibility.
- Develop and implement an effective external counsel strategy, ensuring appropriate allocation of work, fee discipline, value for money and knowledge retention.
- Manage external legal advisors across multiple jurisdictions and specialist disciplines, maintaining effective legal matter management
Requirements
- 10 + years' of progressively responsible post-qualification experience gained in a reputable law firm, corporate legal function or a combination of both.
- Extensive commercial contracting and negotiation experience across supply, distribution, agency, services, licensing and other business arrangements.
- Practical involvement in mergers and acquisitions, corporate restructurings, entity establishment, transaction documentation and post-acquisition legal integration.
- Strong analytical, drafting, negotiation, influencing and relationship-building capability.
- Significant experience advising senior executives, Boards and business leaders on commercially material legal and governance matters.
- Experience managing disputes, regulatory enquiries or significant legal and reputational incidents.
- Excellent verbal and written communication skills in English and in Maltese
Education and experience
- Must be a fully qualified and locally warranted Lawyer
