Our client, a Malta-licensed operator within an international Gaming group, is seeking to appoint a Director to its Board, on a consultancy basis; This is a governance appointment, not an executive one
The successful candidate will sit on the Board of the Maltese entity and contribute to the oversight, supervision and control of the Company's affairs, The expected commitment is between four to eight Board meetings per year, together with preparation time and such additional availability as matters may require; the Director's role is to supervise, challenge constructively, and ensure the Company is directed in accordance with its legal, regulatory and fiduciary obligations.
Depending on the evolution of the company's governance arrangements, the role may in due course extend to chairing the Board:
Duties:
- Prepare, attend and contribute to meetings of the Board, and participate in its deliberations and decisions.
- Exercise independent judgement in the supervision of the Company's management and performance, and constructively challenge proposals put to the Board.
- Oversee the Company's compliance with its regulatory obligations, including those arising under its MGA licence and the Maltese Companies Act.
- Review and, where appropriate, approve the Company's strategy, business plan and budget as proposed by management, and monitor their execution.
- Satisfy himself / herself as to the integrity of the company's financial reporting and the adequacy of its systems of internal controls and risk management.
- Oversee the Company's arrangements in respect of anti-money laundering, responsible gaming and player protection.
- Maintain an appropriate relationship with the MGA and other relevant authorities, and ensure the Board is properly informed of regulatory developments affecting the company.
- Ensure that Board proceedings are properly documented and that decisions are recorded and substantiated.
- Discharge the duties of a Director under Maltese law, including the duty to act in the best interests of the company.
Requirements
- Demonstrated local experience as a Director of a Maltese Company, ideally within a regulated environment.
- Availability to prepare for and attend Board meetings, and to respond to matters arising between meetings
- Eligibility to act as a Director under Maltese law, and ability to satisfy the fitness and propriety requirements applicable to the role.
- Must be residing locally, and posses excellent verbal and written communication skills in English
