We are working with a leading law firm in Malta who are looking for a Corprorate Governance Manager to join their team.
The Corporate Governance Manager will be responsible for managing a portfolio of primarily regulated and/or complex client entities and ensuring the effective delivery of corporate governance, company secretarial, and compliance-related services. The role includes oversight of junior staff, quality assurance of deliverables, client relationship management, and responsibility for billing and operational coordination.
Responsibilities
- Lead the governance of a portfolio of complex client entities, ensuring full compliance with statutory and regulatory obligations and deadlines.
- Attend and lead Board, Committee, and General Meetings, providing guidance on corporate governance, compliance, and regulatory matters.
- Review and finalise minutes, resolutions, statutory documentation, and MBR filings, including acting as an authorised MBR Portal signatory where required.
- Manage client governance and compliance queries, escalations, audits, and Beneficial Ownership inspections, ensuring timely and accurate resolution.
- Supervise and review the work of Corporate Governance Officers and junior staff, providing technical coaching, training, and support.
- Contribute to process improvements and governance best practices while supporting client portfolio management, billing, financial administration, and wider team operations.
Requirements
- Strong knowledge of Maltese company law, corporate governance requirements, and MBR procedures.
- Experience managing a portfolio of client entities, including regulated and/or more complex structures.
- Ability to review and finalise corporate documentation, including minutes, resolutions, statutory forms, and related filings.
- Previous experience in a corporate governance, company secretarial, compliance, or similar role, ideally within a professional services environment.
- Experience attending and supporting board, committee, and general meetings.
